14 The present principles embedded in the Ehrmann Code of Conduct establish the framework according to which we conduct ourselves on a daily basis. The code of con- duct reflects the basic ethical values and standards for exemplary corporate conduct on the part of every em- ployee in the Ehrmann Group. It describes the way and manner in which we, the Ehrmann Company, implement the business goals defined in our 2020 Ehrmann Vision as well as our corporate values defined below: “We are entrepreneurs within the company” “We work fairly and openly together” “We are focused on continuous improvement and development” How business goals are implemented is just as impor- tant as meeting targets and the results themselves. If there are rules of conduct, guidelines or statutory provisions for individual areas of activity or companies, these shall apply without limitation in addition to the code of conduct. If single rules of conduct are in conflict with the statutory provisions, then the statutory pro- visions take precedence. In case of doubt, compliance with the rule or statutory guideline with the stricter interpretation is mandatory. By complying with this code of conduct and all other corporate guidelines and applicable laws, every em- ployee is committed to conducting himself/herself with honesty and integrity and demonstrating exemplary behavior. It is especially important that supersvisors set an example for others at all levels of hierarchy within the Ehrmann Group. A corporate culture with a clearly formulated standard of ethics is an integral part of the Ehrmann Group and is indispensable for its sustainable success as a com- pany. By conducting ourselves with integrity and em- bracing the code of conduct in our decision-making processes and subsequent implementation, we main- tain and strengthen this corporate culture. The code of conduct must be applied not only literally but also in the figurative sense. It is also imperative that we not only apply discernment in difficult and dubious situations requiring a decision, but also that we seek the advice of our superiors in these circumstances. If you find yourself in such a situation and you are un- certain what decision to make or the action required, ask yourself the following questions before taking ad- ditional steps: • Is my decision or action permitted by law? • Does it correspond in letter and spirit to the code of conduct and internal rules and guidelines? • Is my decision correct and unencumbered by per- sonal interest? • Will my decision or action hold up under public scru- tiny or official review? • Would I be proud to report this decision or action to a person of integrity? • Does this decision and measure protect and promote the reputation of Ehrmann as a family company with high ethical standards? If all of the questions can unequivocally be answered with “yes”, then your decision or action is ethically cor- rect and is in compliance with the code of conduct. 1. Preamble
